B2B Commercial & Manufacturing Overview
Welcome to VIRC Nutritionals. This website and all contract manufacturing services provided herein are operated by VIRC Nutritionals (also referred to as "VIRC Snacks" or "Well Aliments"). Throughout this legal framework, the terms "we", "us", and "our" refer to VIRC Nutritionals. By using this website, submitting a request for quotation, entering into a private label production agreement, or issuing a purchase order for custom gummy manufacturing, you engage in our "Service" and agree to be bound by these Terms & Conditions.
These terms govern all B2B interactions, OEM/ODM manufacturing orders, product formulation projects, quality testing protocols, export transactions, and digital engagements between VIRC Nutritionals and commercial buyers, distributors, brand owners, or importers. Please review these terms thoroughly before finalizing purchase agreements.
Section 1 – Contract Manufacturing & Private Label Services
VIRC Nutritionals provides full-service contract gummy manufacturing, custom formulation R&D, pilot scale-up, bulk depositing, bottling, and flexible packaging solutions under cGMP guidelines. All commercial services are executed pursuant to verified specifications agreed upon in writing through official Master Manufacturing Records (MMR) and technical purchase orders.
- Custom Formulations: Proprietary active ingredient blends, sweetener systems, pectin/gelatin bases, and custom flavor profiles developed for clients remain subject to mutual non-disclosure and formulation ownership agreements.
- House Mold & Custom Tooling: Stock house mold shapes are available for standard minimum order quantities. Custom mold tooling remains the intellectual or physical property of the ordering client once tooling fees are fully remitted.
- Regulatory Compliance: Products manufactured at our Selma, Texas facility comply strictly with U.S. FDA 21 CFR Part 111 cGMP regulations for dietary supplements. International buyers are responsible for confirming compliance with local market import authorities prior to mass production.
Section 2 – Technical Specifications, cGMP Quality & Testing
Quality assurance and standard operating procedures are fundamental to all manufacturing operations at VIRC Nutritionals. Our production lines maintain rigorous environmental monitoring, allergen controls, and automated weight and moisture verifications.
Finished Product Testing & Certificate of Analysis
Every commercial lot produced undergoes strict quality control protocol. Finished gummy batches are independently tested by accredited third-party laboratories for active potency, heavy metals, microbial safety, and physical parameters. A Certificate of Analysis (COA) is issued for every lot prior to shipment release.
Any technical deviations, non-conformances, or claim adjustments must be documented and submitted in writing within thirty (30) days of shipment receipt along with supporting laboratory testing results from an ISO 17025 accredited facility.
Section 3 – Ordering Terms, MOQs & Bulk Pricing
Commercial quotations issued by VIRC Nutritionals are valid for thirty (30) calendar days unless specified otherwise. Quotations are structured based on raw material costs, active ingredient specifications, order volume tiers, and chosen packaging formats.
- Minimum Order Quantities (MOQ): Standard production runs start at 1,000 lbs of finished gummies per SKU when using house molds and validated bases. Bespoke shapes, complex multi-active formulas, or specialty packaging require custom MOQ terms confirmed during technical review.
- Pricing Adjustments: Prices for raw active ingredients, specialty pectin, and packaging components may fluctuate based on global supply chain shifts. Price locks are executed upon formal Purchase Order acceptance and deposit confirmation.
- Order Confirmation: Production scheduling and ingredient procurement commence only upon receipt of signed specification sheets and initial deposit payments.
Section 4 – Billing, Payment Terms & Cancellations
Standard payment terms for new contract manufacturing clients require a deposit prior to raw material procurement and batch scheduling, with the balance due prior to shipment dispatch or upon agreed bill-of-lading terms for established accounts.
Because custom gummy supplements involve perishable raw materials, custom printed pouches, and dedicated machine time, purchase orders cannot be cancelled once raw material purchasing or pilot manufacturing has commenced. Cancellation requests received prior to ingredient purchasing may be subject to administrative and formulation costs already incurred.
Section 5 – International Shipping, Export & Lead Times
VIRC Nutritionals manufactures and packages products in Selma, Texas, USA. Standard shipping terms are EXW (Ex Works) or FOB (Free on Board) plant location, unless CIF or DDP terms are explicitly negotiated in writing.
- Production Lead Times: Benchmark manufacturing timelines range between 4 to 8 weeks after final formulation lock, artwork approval, and component delivery. Unforeseen global freight delays or raw material shortages will be communicated proactively.
- Export Documentation: We assist international buyers with standard export documentation, including Certificates of Free Sale, cGMP Certificates, and packing lists. Importers hold sole responsibility for customs clearance, tariffs, and local labeling compliance.
Section 6 – Intellectual Property & Brand Protection
All trademarks, digital media, facility imagery, formulation architectures, and technical content published on this website belong to VIRC Nutritionals or its licensors. Clients retain full ownership of their registered brand names, proprietary artwork, and custom-paid mold geometries. Neither party may utilize the other's trademarks or intellectual property without explicit written consent.
Section 7 – Limitation of Liability & Warranty Disclaimer
VIRC Nutritionals warrants that all finished products delivered conform to agreed Master Manufacturing Records and FDA cGMP regulations. Except as expressly warranted in writing, all services, digital materials, and products are delivered without implied warranties of merchantability or fitness for an unstated third-party purpose.
In no event shall VIRC Nutritionals, its officers, directors, or employees be liable for indirect, incidental, consequential, or punitive damages arising from supply chain interruptions, distributor sales losses, or unapproved retail label claims made by brand owners.
Section 8 – Governing Law & Dispute Resolution
These Terms & Conditions and any separate commercial agreements for contract gummy manufacturing shall be governed by, construed, and enforced in accordance with the laws of the State of Texas and the United States of America. Any legal actions or disputes arising from contract execution shall be resolved in state or federal courts located in Texas.

Continued issuance of purchase orders following documented terms updates constitutes formal acceptance of the revised commercial framework.
